Acceptance of Terms
By engaging with byBase (referred to as "we", "our", or "us"), including submitting a request for quote or proceeding with a service agreement, you ("the client", "you", or "your") agree to be bound by these Terms and Conditions, along with any specific quote, proposal, or written agreement issued in connection with the services we provide.
Services and Scope
We provide professional services as outlined in individual quotes or agreements. Each quote includes:

Any services outside the agreed scope may be subject to additional charges.
Custom Agreements
Each quote forms the basis of a unique contractual agreement between the client and byBase. These terms work in conjunction with the specific terms of that quote. Where inconsistencies exist, the terms of the individual quote or agreement will take precedence.
Payment Terms
Unless otherwise stated in the quote:

A deposit or upfront payment may be required to commence work

Remaining balances are payable according to agreed milestones or upon completion

Payment must be made by the method specified on the invoice
Failure to make payment in accordance with the agreed terms may result in delays, suspension of services, or legal recovery of outstanding amounts.
Cancellation and Refunds
Because our services are custom and professional in nature:

Cancellation after a quote is accepted may incur charges for any work already undertaken or costs incurred

Refunds are not provided for change of mind

Client Responsibilities

Failure to do so may result in delays or additional charges.
Limitation of Liability
To the maximum extent permitted by law, byBase is not liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with our services, including but not limited to loss of profit, business interruption, or data loss.
Our total liability to you for any claim is limited to the amount you have paid us for the specific service to which the claim relates.
Intellectual Property
Unless otherwise agreed:

Any intellectual property we create in the course of delivering services remains our property until full payment has been received

You are granted a license to use the deliverables solely for their intended purpose upon full payment

You must not copy, modify, or redistribute our materials without our written consent
Confidentiality
We respect your confidentiality and agree not to disclose any information you provide to us unless:

You also agree to maintain the confidentiality of any proprietary information we may provide.
Australian Consumer Law
Nothing in these Terms and Conditions excludes, restricts, or modifies any rights you may have under the Competition and Consumer Act 2010 (Cth) or any other applicable legislation.
If our services fail to meet a consumer guarantee under the Australian Consumer Law, you are entitled to a remedy, including repair, re-performance, or refund where appropriate.
Force Majeure
We will not be liable for any delay or failure to perform our obligations if such delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, or internet outages.
Changes to Terms
We reserve the right to update these Terms and Conditions from time to time. Any changes will be posted on our website and will apply to future engagements after the date of update.
Governing Law
These Terms and Conditions are governed by the laws of the State of Victoria, Australia. Any disputes arising in connection with our services will be subject to the exclusive jurisdiction of the courts of Victoria.
